1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Settler website, platform, and settlement services (collectively, the "Services"). By creating an account, connecting a payment processor, or otherwise using Settler, you agree to these Terms and our Privacy Policy.
If you are using the Services on behalf of a business, you represent that you have authority to bind that entity to these Terms.
2. Description of services
Settler provides settlement infrastructure that sits between your existing payment processors (such as Stripe, Shopify, Whop, or Paddle) and your cryptocurrency wallet. We issue settlement accounts, receive processor payouts, convert them to USDT or USDC, and deliver stablecoins to your designated wallet — without changing your checkout or customer payment experience.
Services are offered in Standard and Instant settlement tiers, each subject to the fees and timelines described on our website and in your account agreement.
3. Eligibility
You must be at least 18 years old and operate a legitimate business to use Settler. You must not be located in, or conduct business primarily in, jurisdictions where our Services are prohibited. We reserve the right to decline or terminate accounts that do not meet our eligibility or compliance requirements.
4. Account registration
You agree to provide accurate, complete, and current information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at hello@trysettler.com of any unauthorized access.
5. Fees and payment
Settler charges a percentage fee on settled amounts as disclosed at signup and on our pricing page. There are no monthly subscription fees; you pay only when you settle. Fees may vary between Standard and Instant settlement tiers. We may update fees with reasonable notice.
You are responsible for any taxes, network fees, or third-party charges associated with your use of the Services, except where we explicitly state otherwise.
6. Payment processor relationships
Settler does not replace your payment processor. You remain bound by the terms of any processor you connect. We are not responsible for processor outages, chargebacks, holds, or account restrictions imposed by your processor. You authorize us to receive payout information and funds necessary to perform settlement on your behalf.
7. Stablecoin settlement
You designate wallet addresses for USDT or USDC receipt. You are solely responsible for the accuracy of wallet addresses and for understanding the risks of cryptocurrency, including price stability limitations, network congestion, and irreversible transactions. Settler is not a custodial wallet provider unless explicitly stated in a separate agreement.
Settlement timing depends on your chosen tier, processor confirmation, and applicable compliance reviews. We do not guarantee specific settlement speeds in all circumstances.
8. Acceptable use
You agree not to:
- Use the Services for illegal activity, fraud, or money laundering
- Violate applicable laws, sanctions, or export controls
- Misrepresent your business, identity, or transaction activity
- Interfere with or attempt to compromise the security of the Services
- Reverse engineer or resell the Services without our written consent
- Use the Services for businesses we prohibit under our compliance policies
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICES.
Settler is not a bank, money transmitter, or investment advisor unless separately licensed and disclosed. Nothing on our website constitutes financial, legal, or tax advice.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SETTLER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU TO SETTLER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Settler from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
12. Termination
You may close your account at any time by contacting us. We may suspend or terminate your access immediately if you breach these Terms, pose a compliance risk, or if required by law. Upon termination, you remain liable for fees incurred and obligations accrued prior to termination.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which Settler is incorporated, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of that jurisdiction, unless otherwise required by applicable law.
14. Changes
We may modify these Terms at any time. We will post updated Terms on this page and update the "Last updated" date. Continued use of the Services after changes constitutes acceptance. If you do not agree to modified Terms, you must stop using the Services.
